These Seller Terms & Conditions ("Seller Terms") govern the relationship between APkart Online Store ("APkart", "we", "us", or "our") and any store, business, vendor, supplier, or marketplace partner ("Seller", "you", or "your") that registers, lists products, or fulfils orders through the APkart website, mobile application, or related services ("Platform").
By registering as a Seller, accepting orders, listing products, or continuing to use the APkart Platform, you agree to these Seller Terms.
The Seller must provide accurate, complete, and current information during registration.
APkart may request information or documents required to verify the Seller, including:
Store/business name
Owner or authorized representative details
Mobile number
Email address
Store address
Bank account/payment details
GST details, where applicable
FSSAI registration/license, where applicable
Other licences or documents required for specific products
APkart may approve or reject a seller application based on its verification process.
The Seller is responsible for maintaining the security of its APkart seller account and login credentials.
The Seller must not:
Share login credentials with unauthorized persons;
Allow unauthorized access to the seller account;
Create multiple accounts to circumvent APkart restrictions;
Use another seller's account.
The Seller must immediately notify APkart if unauthorized access is suspected.
The Seller is responsible for the products it lists and supplies through APkart.
The Seller confirms that products supplied through APkart are:
Genuine and authentic;
Legally permitted to be sold;
Safe and suitable for their intended use;
Properly packaged;
Within applicable expiry/use-by dates;
Stored appropriately; and
Compliant with applicable laws and regulations.
The Seller must not list counterfeit, expired, adulterated, unsafe, prohibited, or unlawfully sourced products.
The Seller must provide accurate information for every product listing.
This includes, where applicable:
Product name
Brand
Images
Description
Size/weight/quantity
Selling price
Discount
Stock quantity
Product specifications
Expiry information
Warranty information
The Seller is responsible for correcting inaccurate information promptly.
The Seller confirms that it has the necessary rights or authorization to use product images, descriptions, trademarks, logos, and other content uploaded to APkart.
The Seller must not upload content that infringes the intellectual-property rights of another person or business.
APkart may remove or disable listings where an intellectual-property concern is reported or identified.
The Seller is responsible for providing accurate product prices.
The Seller agrees to honour the applicable price for an accepted order, subject to legitimate corrections of obvious pricing or technical errors.
The Seller must not artificially increase prices to create misleading discounts.
APkart may require the Seller to correct or remove products with inaccurate or misleading pricing.
The Seller may participate in APkart promotional campaigns, including:

Seasonal promotions
The terms of a particular campaign may be agreed separately between APkart and the Seller.
The Seller must fulfil promotional orders according to the agreed campaign terms.
The Seller must maintain reasonably accurate stock information.
If a product becomes unavailable, the Seller must update the stock or notify APkart promptly.
Repeated acceptance of orders for unavailable products may result in warnings, suspension, or other action.
After receiving an APkart order, the Seller must:
Verify product availability.
Prepare the correct products.
Pack the products appropriately.
Keep the order ready within the applicable processing time.
Hand over the order as instructed by APkart.
The Seller must not unnecessarily cancel an order after accepting it.
The Seller is responsible for ensuring that products supplied to customers match the product listing and are in acceptable condition.
The Seller may be responsible for issues involving:
Wrong products
Missing products
Damaged products
Expired products
Defective products
Incorrect quantity
Misrepresented products
APkart may coordinate with the Seller to resolve customer complaints.
Returns, replacements and refunds will be handled according to APkart's applicable policies and the conditions applicable to the product.
The Seller agrees to cooperate with APkart in resolving legitimate customer requests.
Where a refund or replacement is attributable to a Seller-related issue, the applicable amount may be adjusted against the Seller's settlement, subject to the agreed commercial terms and applicable law.
APkart may arrange delivery through its delivery operations or third-party delivery partners.
The Seller must:
Pack orders appropriately;
Keep orders ready for pickup;
Provide the correct products;
Provide required order information;
Cooperate with delivery personnel.
The Seller must not impose an unauthorized delivery charge directly on an APkart customer.
Customer information provided through APkart is confidential.
The Seller may use customer information only to fulfil APkart orders and provide services specifically authorized by APkart.
The Seller must not:
Sell customer information;
Share it with unauthorized persons;
Use it for independent marketing;
Add customers to external marketing lists without appropriate authorization;
Contact customers for unrelated business purposes.
The Seller must comply with applicable privacy and data-protection requirements.
Seller settlement will be made according to the commercial terms agreed between APkart and the Seller.
Settlement may be adjusted for:
Cancelled orders
Customer refunds
Approved returns
Replacements
Order discrepancies
Fraudulent or disputed transactions
Other applicable adjustments
APkart may temporarily hold amounts reasonably necessary to resolve an outstanding dispute or adjustment.
Under the applicable APkart seller plan, APkart may offer:
0% commission
No hidden charges
Free delivery for customers, subject to applicable APkart conditions
Any specific commercial charges, service fees, or future changes will be communicated to the Seller as applicable.
The Seller's commercial agreement or onboarding confirmation may contain additional terms.
The Seller is responsible for its own tax and legal obligations.
The Seller must comply with applicable laws relating to:
GST
Income tax
Food safety
Product safety
Consumer protection
Licensing
Packaging and labelling
Intellectual property
Other applicable business requirements
APkart may request relevant documentation where required.
The Seller must not:
Create fake orders;
Manipulate customer reviews or ratings;
Submit fraudulent information;
Sell counterfeit products;
Sell prohibited products;
Manipulate prices or discounts;
Misuse customer information;
Attempt to bypass APkart for unauthorized transactions;
Circumvent APkart fees or commercial arrangements;
Upload malicious software or harmful content;
Engage in fraudulent or unlawful activity.
Where customer contact is necessary to fulfil an order, the Seller may communicate with the customer only for legitimate order-related purposes.
The Seller must not use customer contact information obtained through APkart for unrelated promotional activity without appropriate authorization.
APkart may monitor seller performance based on factors such as:
Order fulfilment
Cancellation rate
Product availability
Customer complaints
Product quality
Return/refund issues
Response to APkart
Compliance with these Seller Terms
APkart may contact a Seller where performance issues are identified and may request corrective action.
APkart may temporarily suspend a Seller account where reasonably necessary, including for:
Repeated order cancellations
Repeated customer complaints
Product quality concerns
Policy violations
Fraud concerns
Unlawful products
Misuse of customer information
Failure to respond to APkart
Other conduct that may harm customers or APkart
Where appropriate, APkart may provide notice and an opportunity to resolve the issue.
Either APkart or the Seller may terminate the seller relationship subject to applicable commercial arrangements.
APkart may terminate or restrict a Seller account in cases involving serious or repeated violations, fraud, unlawful conduct, counterfeit products, misuse of customer information, or other material breaches of these Seller Terms.
Termination does not automatically remove obligations relating to pending orders, refunds, disputes, payments, confidentiality, or applicable legal requirements.
APkart may review Seller accounts that remain inactive for an extended period.
An account may be considered inactive if the Seller:
Has no meaningful product activity;
Repeatedly fails to fulfil orders;
Does not maintain product availability;
Does not respond to APkart communications; or
Has stopped participating in the Platform.
APkart may contact the Seller before removing or suspending an inactive account where reasonably possible.
To the extent permitted by applicable law, the Seller may be responsible for claims, losses, penalties, costs, or expenses arising from:
Products supplied by the Seller;
Seller negligence or misconduct;
Counterfeit or unlawful products;
Incorrect product information;
Intellectual-property infringement;
Regulatory violations;
Seller misuse of customer information; or
Breach of these Seller Terms.
To the extent permitted by applicable law, APkart will not be responsible for losses caused by circumstances outside its reasonable control, including third-party service interruptions, network failures, natural events, government restrictions, or seller-side operational failures.
Nothing in these Seller Terms is intended to exclude any liability that cannot legally be excluded or limited.
APkart may update these Seller Terms from time to time.
Material changes may be communicated through the Platform, seller account, email, or other appropriate means.
The updated terms will become applicable from the effective date stated in the updated terms, subject to applicable law and any specific commercial agreement between APkart and the Seller.
The Seller must keep confidential any non-public business, customer, technical, pricing, operational, or commercial information received from APkart.
This obligation continues after the seller relationship ends, to the extent permitted by applicable law.
These Seller Terms are governed by the applicable laws of India.
Disputes shall be subject to the jurisdiction of courts having appropriate jurisdiction over the matter.
